Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and L3XCZR SFTWYR LLC ("Company", "we", "us", "our") governing your access to and use of the QwicKeys web application, admin dashboard, browser extension, and related services (collectively, the "Service").

By creating an account, installing the browser extension, or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using QwicKeys on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

To use QwicKeys, you must be invited by an Admin or register for a plan. You agree to:

• Provide accurate, complete, and current information when setting up your account
• Maintain the confidentiality of your login credentials and not share them with others
• Notify us immediately at support@qwickeys.com if you suspect unauthorized access
• Be solely responsible for all activity that occurs under your account

We reserve the right to disable any account we reasonably believe is being used in violation of these Terms.

You agree not to use the Service to:

• Store, transmit, or expand content that is unlawful, defamatory, harassing, or fraudulent
• Automate interactions with websites in ways that violate those sites' terms of service
• Attempt to reverse-engineer, decompile, or extract the source code of the Service
• Circumvent or attempt to bypass any security, authentication, or access controls
• Scrape, crawl, or use automated means to collect data from the Service without permission
• Resell, sublicense, or otherwise commercialize access to the Service to third parties
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure

We reserve the right to investigate and take appropriate action, including account suspension, for any suspected violation of these restrictions.

Paid subscriptions are billed on a monthly or annual basis through our payment processor (Stripe). By subscribing, you authorize us to charge the payment method on file.

• Upgrades: Take effect immediately. You will be billed the prorated difference for the current billing period.
• Downgrades: Take effect at the start of the next billing cycle. No partial refunds are issued for unused time on a higher-tier plan.
• Cancellations: You may cancel at any time. Access continues until the end of the current billing period; no refund is issued for that period.
• Failed payments: We will retry failed charges. If payment is not resolved within 7 days, access may be suspended until the balance is settled.
• Taxes: Prices shown do not include sales tax or VAT, which may be added based on your location.

The QwicKeys platform, including its code, design, trademarks, logos, and documentation, is owned by L3XCZR SFTWYR LLC and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes while your account is active.

This license does not grant you any ownership rights in the Service. All rights not expressly granted are reserved by L3XCZR SFTWYR LLC.

You retain ownership of all shortkey content you create within the Service. By storing content in QwicKeys, you grant us a limited license to store, display, and process that content solely for the purpose of operating the Service.

You are solely responsible for ensuring your content does not violate any applicable laws, third-party rights, or these Terms. We do not review or moderate shortkey content but reserve the right to remove content that violates these Terms.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or fully secure at all times
• The Service will be compatible with every browser, web application, or operating environment
• Any errors or defects will be corrected within a specific timeframe

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, L3XCZR SFTWYR LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

In no event will our total liability to you exceed the greater of (a) the total fees paid by you in the twelve months preceding the claim, or (b) $100 USD.

You agree to indemnify, defend, and hold harmless L3XCZR SFTWYR LLC and its officers, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of or access to the Service
• Content you create, store, or transmit via the Service
• Your violation of these Terms or any applicable law
• Your violation of any third-party rights

Either party may terminate these Terms at any time. We may suspend or terminate your access immediately, without prior notice, if we reasonably believe you have violated these Terms.

Upon termination:

• Your access to the Service and all associated data will be disabled
• We will retain your data for up to 30 days, after which it will be permanently deleted
• You may request a data export before termination by contacting us
• Sections 6, 8, 9, 10, and 12 of these Terms survive termination

These Terms are governed by the laws of the State of Missouri, United States, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Missouri, and you consent to the personal jurisdiction of those courts.

For any disputes involving amounts less than $10,000 USD, either party may elect binding arbitration in lieu of court proceedings.

We may update these Terms from time to time to reflect changes in our service, legal requirements, or business practices. We will update the "Last updated" date at the top of this page. For material changes, we will provide at least 14 days' notice via email before the new Terms take effect.

Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you disagree with the changes, you may cancel your account before they take effect.
